We offer investment advisory services to retail investors, including portfolio management and access to independent investment managers. As part of our standard services, we monitor your investments on an ongoing basis and provide advice and adjustments as needed. The scope and frequency of our monitoring are based on the nature of your account and the services you select.
Portfolio Management. We provide both discretionary (we make trades for you) and non-discretionary (you approve each trade) portfolio management services. We help you set investment goals, design an investment strategy, monitor your portfolio, and make adjustments when needed. You may place reasonable restrictions on how we manage your account.
If you grant us discretionary authority, that authority begins once your account is opened and the required documents are executed. Discretionary authority allows us to decide which securities to buy or sell without asking you in advance, subject to any written limitations you provide. If we provide non-discretionary services, you make the final decision on all investment transactions.
Independent Managers. When appropriate, we may recommend that part of your portfolio be managed by an independent investment manager. If you choose this option, you may enter into a separate agreement with that manager and pay additional fees. We help you select and monitor the independent manager as part of our advisory services.
We do not generally impose a minimum account size to establish a relationship. However, we reserve the right to not accept or to terminate accounts that we believe are too small to manage effectively.

We charge fees for our investment advisory services, which are calculated as a percentage of the assets we manage for you.
For our portfolio management services, we charge an asset-based fee which is billed monthly in advance based on the market value of your account at the end of the previous month. Our standard annual fee schedule ranges from 0.35% to 0.90%. Our fees may be negotiable under certain limited circumstances.
If we recommend an independent investment adviser, that adviser will charge a separate fee for its services. These fees are in addition to the fees you pay to us.
Since we charge based on assets, we have an incentive to increase the size of your portfolio.
In addition to our advisory fees, you will pay other fees and costs. These may include custodian and brokerage fees, such as commissions and transaction charges for buying or selling securities, as well as internal expenses charged by mutual funds or ETFs you invest in. Pathway does not receive any portion of these third-party fees.
You will pay fees and costs whether you make or lose money on your investments. Fees reduce the value of your investments over time. Please make sure you understand what fees and costs you are paying.

When we act as your investment adviser, we are required to act in your best interest and not put our interests ahead of yours. At the same time, the way we make money can create some conflicts. You should understand and ask us about these conflicts because they can affect the investment advice we provide you.
For instance, one of our professionals is licensed to sell securities and insurance products and may receive commissions or other compensation in those separate roles. He is also registered with a broker-dealer and may earn compensation from securities transactions conducted through that firm. These arrangements create financial incentives to recommend products that result in additional compensation. You are not required to purchase any securities or insurance products through him, and these activities are separate from our advisory services.

Our financial professionals receive fixed salaries. They also receive annual bonuses at the discretion of management based upon overall performance of the firm.
Additionally, our principal, Brock Anthony Weaver, may receive commissions in his separate roles as a registered representative of a broker-dealer and as a licensed insurance agent. He also earns income as a partner in an affiliated accounting firm.
